Terms and Conditions

1. Acceptance of Terms
By accessing and using BTSCOMET S.L. services (hereinafter, "Intellico", "we", "the Company" or "the Service Provider"), you agree to be bound by these Terms and Conditions. If you do not accept these terms, you should not use our services.
These terms constitute a binding legal agreement between you (the "Client") and BTSCOMET S.L.
2. Description of Services
Intellico offers comprehensive consulting services for SMEs and startups, including:
- Strategic Services and Part-Time CXO
- Human Resources and Talent Search
- Digital Transformation and 360° Marketing
- Organization and Internal Processes
- Financial Platform
- Innovation and Development
- Other business consulting services
The specific description of each service is detailed in individual consulting proposals.
3. Terms of Engagement
To contract Intellico services:
- The Client must complete the consulting request form
- Intellico will assess the request and determine project viability
- A personalized proposal will be prepared with budget and timeline
- The agreement will be binding only after signing individual contract and payment of required deposits
- The Client must provide accurate and complete information about their company
4. Fees and Payment Methods
Fees will be specified in the individualized consulting proposal. Fees may vary depending on:
- Type and complexity of project
- Duration of service
- Number of consultants required
- Geographic scope of project
Payment Methods:
- Bank transfer
- Direct debit
- Credit/debit card
- Installment financing (as agreed)
Initial Deposit: An initial deposit of 30-50% is normally required to confirm service reservation. Balance will be paid according to agreed schedule.
5. Cancellation Policy
Client Cancellation:
- If cancellation occurs before project start: 100% refund minus administrative costs (10%)
- If cancellation occurs during project: no refund; will be charged for services rendered
- Deposits paid are considered payment for services rendered or committed
Intellico Cancellation: Intellico may cancel service if:
- Client fails to meet payment obligations
- Client provides false or misleading information
- Circumstances arise that prevent service execution
In these cases, proportional refund for services not rendered will be provided.
6. Client Obligations
The Client agrees to:
- Provide accurate, complete and verifiable information
- Make payments on agreed dates
- Provide access to necessary documentation and information
- Designate a responsible point of contact for communications
- Implement agreed recommendations in time and form
- Maintain confidentiality of sensitive information shared
- Comply with applicable laws and regulations
7. Intellico Obligations
Intellico commits to:
- Provide professional quality services according to industry standards
- Assign consultants with appropriate experience and competence
- Respect agreed timelines (subject to unforeseen circumstances)
- Maintain confidentiality of Client information
- Communicate regularly on project progress
- Deliver deliverables as agreed
8. Confidentiality
Both parties agree to maintain confidentiality of all sensitive, financial, operational or strategic information shared during service provision. This obligation will continue for 2 years after project completion.
Exceptions: Confidentiality does not apply to:
- Publicly available information
- Information required by law to disclose
- Information developed independently without access to Client's confidential information
9. Intellectual Property
Works Prepared: Work, analysis, reports and recommendations prepared by Intellico under contract are Intellico's intellectual property, but Client obtains license to use them internally.
Methodologies: Methodologies, processes and tools developed by Intellico remain as Intellico's intellectual property and cannot be reproduced or sold without authorization.
10. Limitation of Liability
Disclaimers: Consulting services are provided "as is". Intellico:
- Does not guarantee specific results or ROI
- Is not responsible for Client business decisions based on recommendations
- Is not responsible for circumstances beyond its control
- Is not responsible for incorrect information provided by Client
Liability Limit: Intellico's total liability shall not exceed the amount paid for services in the 12-month period prior to the claim.
11. Warranties
Intellico warrants:
- That assigned consultants have necessary qualifications
- That services will be provided professionally
- That services will comply with applicable Spanish laws
- Confidentiality of Client information
Exclusion of Other Warranties: Intellico does not offer warranties for:
- Absence of errors or omissions
- Specific results
- Compliance with particular expectations
12. Force Majeure
Intellico will not be responsible for failure to meet obligations due to force majeure circumstances including:
- Natural disasters
- War or terrorism
- Pandemics or health emergencies
- Critical infrastructure failures
- Changes in government laws or regulations
In such cases, timelines will be extended reasonably or terms renegotiated.
13. Duration and Termination
Duration: The agreement is valid from signature until completion of services or termination under these terms.
Termination: Either party may terminate the agreement:
- For material breach not corrected within 15 business days after notice
- By mutual written agreement
- For insolvency or bankruptcy of the other party
14. Dispute Resolution
Negotiation: Any dispute will be resolved through direct negotiation between authorized representatives within 15 days.
Mediation: If negotiation fails, mediation with a neutral mediator will be used.
Arbitration/Litigation: If mediation fails, the matter will be resolved by competent courts in Spain according to Spanish laws.
15. Applicable Law
These Terms and Conditions are governed by Spanish law, including:
- Law 3/1991, of January 10, on Unfair Competition
- Law 34/1988, of November 11, on Advertising
- Spanish Civil Code
- Applicable commercial laws
16. Modification of Terms
Intellico reserves the right to modify these Terms and Conditions at any time. Changes will take effect 15 days after publication. Continued use of service implies acceptance of changes.
17. Entire Agreement
This agreement, together with the individual consulting proposal and signed contract, constitutes the complete agreement between the parties. It supersedes all previous verbal or written agreements.
18. Severability
If any provision of these terms is considered invalid, other provisions will remain in effect. Reasonable effort will be made to replace the invalid provision with another valid one achieving the same effects.
19. No Waiver
Non-exercise of any right under these terms does not constitute waiver of such right. Any waiver must be expressed in writing.
